1. Acceptance of Terms

By accessing or using the website awarecam.com or any services provided by AwareCam LLC ("AwareCam," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Services

AwareCam provides AI-powered video security monitoring services, including but not limited to: real-time video analysis, event detection and alerting, video clip and screenshot generation, cloud storage of footage, and a web and mobile portal for managing cameras and reviewing events. Services are provided on a subscription basis to registered customers and authorized resellers.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at info@awarecam.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations, including privacy laws
• Monitor individuals without their knowledge or consent where required by law
• Collect or store personal data about others without proper legal basis
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our services for any unlawful surveillance, stalking, or harassment
• Reverse engineer, decompile, or disassemble any part of our software
• Resell or sublicense our services without written authorization from AwareCam

5. Camera Installation and Compliance

You are solely responsible for ensuring that the installation and operation of cameras at your premises complies with all applicable local, state, national, and international laws, including laws governing surveillance, recording, and privacy. AwareCam is not responsible for any legal liability arising from your use of cameras in violation of applicable law. You must obtain all necessary consents, permits, and authorizations before deploying cameras.

6. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account. You are responsible for all applicable taxes.

7. Intellectual Property

All content, software, technology, and materials provided by AwareCam — including but not limited to our AI models, platform, website design, logos, and documentation — are the exclusive property of AwareCam LLC and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes. You retain ownership of your video footage and data.

8. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You grant AwareCam a limited license to process your video data and related information solely for the purpose of providing and improving the services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any losses resulting from service interruptions beyond our reasonable control, including internet outages, power failures, or force majeure events.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR AI DETECTION WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. AWARECAM IS NOT A SUBSTITUTE FOR PROFESSIONAL SECURITY SERVICES OR EMERGENCY RESPONSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWARECAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AWARECAM IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription through your account settings or by contacting us. We reserve the right to suspend or terminate your account immediately for violation of these Terms, non-payment, or conduct that we determine to be harmful to other users or to AwareCam. Upon termination, your right to access the services ceases and we may delete your data in accordance with our data retention policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
